Polyglyph Analytica

Terms of Service and Sale

These terms apply when you use our websites, and when you buy from or work with Polyglyph Analytica. They cover 3Sry, our apps and plugins, our bundle store at store.polyglyphanalytica.com, our models service and our advisory work. Each of our apps also has its own terms, listed in clause 3.

Please read them before you buy. Clauses 9, 21 and 22 matter most. They say what our AI agents do and don’t do, what we promise and where our responsibility to you ends. If you buy as a consumer, you have legal rights that these terms don’t take away (clause 4.4).

Last updated 26 October 2026.

1. Who we are

1.1You buy from Polyglyph Analytica Ltd. Stripe processes the payment for us. It is not the seller. The charge on your statement is from POLYGLYPH.

1.2Polyglyph Analytica Ltd is registered in England and Wales, company number 17495579. You can write to us at [email protected].

1.3Our registered office is at Montclare, Orpington Bypass, Badgers Mount, Kent TN14 7AG, U.K. We make 3Sry, our apps and our plugins, and we sell them ourselves.

2. Words with a special meaning

2.1In these terms, these words have the meanings below.

  • We, us and our mean Polyglyph Analytica Ltd.
  • You and your mean the person, or the business, that uses our websites or buys from us. Where you buy for a business, it means that business, and it includes the people it lets use what it bought.
  • A consumer is an individual buying wholly or mainly for purposes outside their trade, business, craft or profession. A business customer is anyone else.
  • 3Sry is our software that runs a business’s back office with teams of AI agents, installed on the customer’s own computer or server. It includes its installers, updates, the control centre and its documentation.
  • An app or plugin is one of our other software products listed in clause 3.3, each sold on its own site under its own terms.
  • App terms are the terms on an app’s own site.
  • Our software means 3Sry and our apps.
  • A bundle is one payment, at our store, that gives you a licence in each app it covers (clause 14).
  • The models service is our own connection to an AI model, for an app that offers it. A model plan is the models service sold with 3Sry as an annual licence with a monthly allowance (clause 13).
  • A licence year is the year a licence runs for, from the day it starts.
  • An order is how you buy from us: a checkout on Stripe’s page, an invoice we send you, or an order form or engagement letter we both sign.
  • An agent is an AI agent in our software, whether we ship it or you make it.
  • Your data is everything you or your people put into our software, or connect it to, and everything our software works out from it.
  • Our websites are polyglyphanalytica.com, 3sry.com and the sites of our apps and services.
  • Writing includes email.

2.2Headings are for ease of reading and don’t change the meaning. “Including” means including without limit. A law named in these terms means that law as amended or replaced from time to time.

3. What these terms cover

3.1These terms apply to:

  • your use of our websites;
  • a licence to 3Sry, a model plan, and anything else we invoice for 3Sry;
  • a bundle bought at our store, store.polyglyphanalytica.com;
  • the models service;
  • bespoke integration work and our advisory work (clause 16); and
  • our apps, together with each app’s own terms (clause 3.3).

3.2Our capital and investment work is not offered under these terms. Our Capital page is published for information only, as it says.

3.3When you buy one of our apps, or get one in a bundle, that app’s own terms apply to its licence and to how you use it. Each app’s terms are here:

3.4The People plugin is for Enterprise customers. Write to [email protected] to ask about it. Its terms are at people.polyglyphanalytica.com/terms.html.

3.5If two documents disagree, the one higher in this list wins, but only on the point where they disagree:

  • an order form or engagement letter we both sign, where it says in terms that it changes these terms;
  • a data processing agreement we both sign, for personal data we process for you;
  • an app’s own terms, for that app;
  • these terms; and
  • any other document we refer to, such as a pricing page.

3.6Your own terms, such as those on a purchase order, don’t apply, even if you send them to us or refer to them, unless we agree in a signed document that they do.

3.7Our websites are for information. We may change or withdraw any part of them. We don’t promise that they will always be available or free of errors. Where a page links to another site, that site’s own terms and privacy notice apply to it.

4. Who can buy, and your accounts

4.1You must be 18 or over to buy from us. If you buy for a business, you confirm that you have its authority to agree to these terms for it.

4.23Sry can be used in the UK, the 27 member states of the EU, the US (federal, all 50 states and the District of Columbia), and the six Gulf states and their free zones. Each company works under the rules of where it is incorporated. Each app’s terms say where it is sold.

4.33Sry is sold to businesses. Each company has its own licence. A licence is for the company named on it, and only for that company’s own business.

4.4Nothing in these terms takes away rights the law where you live gives you as a consumer. Where a clause applies only to business customers, it says so.

4.5Your licence account is on our licence server. You sign in with a link we email to the address on your licence. In 3Sry, people sign in with passkeys. You are responsible for who you let into your licence account and your 3Sry, for the roles you give them, and for keeping the email address on your licence up to date. Tell us straight away if you think someone has got into your licence account without your permission.

4.6You must give us true and complete details when you buy, and keep your billing details up to date.

5. How a contract is made

5.1At a checkout on Stripe’s page, the contract is made when your payment is accepted. At checkout you agree to these terms.

5.23Sry is sold on invoice. We send its invoices through Stripe, and you pay them by bank transfer.

5.3To buy 3Sry, tell us which departments you want, how many people will use it, whether you want a model plan, and how you’ll pay. We talk it through with you, and then we send you an invoice. The contract for a licence year is made when you pay its first invoice, or when we both sign an order form for it, whichever comes first.

5.4Something new starts once its invoice is paid. That includes a new licence, an extra department, a bigger model plan, a user above your number, and an agent you make. Until then it shows as waiting for payment, and everything you already have keeps working.

5.5We may decline an order. If we do, we tell you, and we refund anything you paid for it.

6. Your licence to use our software

6.1Our software is licensed to you. It is not sold. We, or the people who license it to us, keep every right in it that these terms don’t give you.

6.2For 3Sry, we give you a licence to install and use it on your own computer or server, for your own company’s business, within what your licence covers: its departments, users, trainees, agents you make, and model plan. The licence can’t be transferred, and you may not sublicense it. It isn’t exclusive.

6.3Your licence includes updates for each licence year that is paid. If an instalment is missed, your copy of 3Sry keeps working, agents included, unless it has been changed in a way the licence doesn’t allow. You stop getting updates. A banner on every page says you’re missing important security and product updates. When you pay what you owe, 3Sry works out how to catch up on the updates you missed. It shows you the steps, and installs them one at a time once you say yes.

6.4So, if your licence lapses because a bill wasn’t paid, you may keep using the version of 3Sry you have, within what your licence covered. That right ends if the licence ends under clause 15 or clause 24.

6.53Sry checks its licence with our licence server when it starts, and then once a day (clause 8.3). If our licence server can’t be reached, 3Sry keeps working for 30 days from the last check, and tries again. After that, its agents pause until a check succeeds.

6.6You can move 3Sry to another computer up to 3 times in each licence year, from its settings. For a fourth move in a year, or if the old computer is lost, email [email protected] and we’ll move it for you.

6.7You may not, and may not let anyone else:

  • copy, share, sell, rent, lend, sublicense or otherwise redistribute our software or any part of it, including the licence file inside your copy, except for the backups and copies you need to run it as these terms allow;
  • remove or work around the licence check, or anything that limits use to what your licence covers;
  • reverse engineer, decompile or disassemble our software, except to the extent that the law where you live allows this regardless of these terms;
  • change our software so that it does work another of our products does, or uses a department, feature or capability your licence doesn’t include;
  • use one licence for more than one company, or provide our software as a service to anyone else; or
  • remove any notice of who owns our software.

6.8If a copy has been changed in a way the licence doesn’t allow, we don’t support it, and it may stop working. Restoring the copy we supplied makes it work again.

6.9Where our software includes a part made available under an open-source licence, that licence applies to that part, and nothing in these terms limits your rights under it.

6.10Agents of your own are made with Agent creator, which is licensed like any department. Each agent you make is licensed as the pricing page says. There’s no set-up fee for an agent, a process or a department you make. You or your administrator switch each one on.

7. Free trials

7.1When you set 3Sry up, you can try it free for 14 days. Nothing is billed during the trial. It has Records and every department. Up to 5 people can use it, and it has no places for trainees. It comes with our free setup model only, and no model plan. A business gets one trial. If you install 3Sry again, the new trial ends on the same day as the first.

7.2To keep using 3Sry after the 14 days, you need a licence. If you go on to a paid licence, the agents you made in the trial are billed from your first paid invoice.

7.3A trial is for you to find out whether 3Sry suits your business. Don’t rely on it for work you can’t check another way. Clause 22.7 limits what we owe you for a trial.

7.4An app’s own terms say whether it has a trial, and how it works.

8. Your data stays with you

8.13Sry runs on your own machine, or on a hub on your company’s own server. We host neither. The record, the documents, the checkpoints and the evidence copy are kept in your database and your own storage. Your business records stay on your own computer. To improve 3Sry, we receive anonymised counts of how it’s used: never your records, and you can turn it off.

8.2Because your data is on your systems, you hold it and you control it. We can’t see it, and we can’t restore it for you. You are responsible for:

  • the computers, servers, networks and storage 3Sry runs on, and keeping them secure and working;
  • backing up your data, including the evidence copy to storage you own;
  • keeping safe the keys 3Sry hands over, such as the log key and each agent’s key, in your secret store;
  • installing updates. If you don’t, you miss security fixes; and
  • whether you may lawfully put each kind of data into 3Sry, and who in your business may see it.

8.3Your licence check. Once a day, with the check, 3Sry sends us counts and choices we need to license and invoice you, such as how many people use it, and the name and email address of each of your 3Sry administrators. It sends no other person’s name, email address or role. Our server sends back a copy of your 3Sry invoices.

8.4Your 3Sry’s address. Each installation has its own address, <name>-hub.3sry.com, served by our relay. It is the only address an installation has. When you or your people use 3Sry, it travels through our relay at your company’s address, sealed so that we can’t read it. Messages that platforms you switch on send to your 3Sry (such as Teams or WhatsApp), meeting platforms’ calls back and anyone checking a certificate pass through the relay as ordinary web traffic, which we don’t keep. The relay keeps only which address belongs to which installation, that installation’s public key, and counts for its limits. If you don’t want platforms’ messages to pass through the relay, don’t switch those channels on.

8.5Product signals. Once a week, your hub sends us anonymised counts of how 3Sry was used in the week before. We use them for our product development: to find where 3Sry is hard to use, and make it better. They count, for each place on 3Sry’s own screens, how often people asked how to do something there, and how often they got stuck. They also carry the version of 3Sry and its edition. They never carry the words of a question, your records, names, amounts, your company’s name, your licence id or your installation id. Product signals are on from the start, and 3Sry says so when you install it. Your owner or an administrator can see the next week’s send, whole, on 3Sry’s Security page before it goes, and can turn product signals off, or on again, there. When they’re off, nothing is sent.

8.6Beyond that, 3Sry sends us something only when you choose a service of ours that needs it, such as a model plan, notification emails, our mail service, a message from Help, or a move to another computer. 3Sry’s privacy page lists each one, what it carries and how long we keep it.

8.7Each app’s own privacy page says what that app does with your data.

9. AI agents and what they prepare

9.1Our agents prepare work for people to approve. A person approves it, and stays accountable for it. Each piece of an agent’s work is checked by another agent, or by code that works it out again from the sources, and the card shows both side by side.

9.2Nothing in 3Sry moves money or files a return on its own, at any setting. 3Sry prepares the payment run, and it goes only once a person approved it with their passkey. It prepares your VAT or sales tax returns and your company tax, and a person files them.

9.3The person accountable for a workflow can tick Run autonomously. Its agent then decides for them, below the threshold they set and within a daily total, and never beyond the ceiling the owner sets in policy or beyond what that person could approve themselves. Each decision is recorded as theirs, marked as delegated. A change of policy, a payment file and a tax return always wait for a person. If you tick Run autonomously, you accept those decisions as your own.

9.4Figures, drafts, findings and other things an agent prepares are provisional until a person in your business has checked and approved them. They are not professional, accounting, legal, tax, financial, investment or audit advice, and they don’t replace your own advisers. A report from the Contract assurance plugin is not an audit, a review or any other form of assurance, and it is not accounting, legal or tax advice.

9.5You are responsible for:

  • who in your business may approve what, and the limits you set;
  • checking what an agent prepares before you approve it, send it, file it or rely on it;
  • every payment you make, every return you file and every document you send; and
  • decisions about people, such as hiring, which a person must make.

9.6AI models can be wrong, and a model that reads a document or an email can still be talked round in what it writes. The controls limit what that can change, but they don’t stop it being written. A model is only used for a task once it has passed 3Sry’s tests for that task. Until one has, the task shows that no model is ready for it, and it doesn’t run.

9.7Before anything goes to your model provider, 3Sry takes out personal details that follow a known pattern, such as bank account and National Insurance numbers. A detail that follows no pattern, like a name in a sentence, can still reach it.

10. Using our services properly

10.1You must not use our websites, our software or our services:

  • in breach of any law, or to help anyone else break one;
  • to defraud anyone, or to deal with money or property that is the proceeds of crime;
  • to send spam, or anything unlawful, harmful, defamatory or that infringes anyone’s rights;
  • to try to get into any system, account or data you’re not allowed into, including our licence server, our relay and our models service;
  • to put malware into, overload, disrupt or test the security of anything we run, without our written permission;
  • to get round a limit we set on a service we run, such as an allowance, a rate limit or a daily count; or
  • to process personal data without a lawful basis.

10.2You are responsible for what your people, and the agents you run, do with our software.

11. Other providers, and connectors on your own keys

11.1Your agents need an AI model. You can use your own key from OpenRouter or Anthropic. Or you can take one of our model plans (clause 13). On your own key, requests go under your own agreement with that provider, and that provider’s terms and charges apply.

11.23Sry contacts only the systems you connect it to, using your own keys. A connector writes back only what a person approved. Your agreement with each of those systems’ providers applies to your use of it. Some providers only open their API to apps they have approved, so check with yours first. If a provider won’t let 3Sry connect, or changes how its system works, we aren’t responsible for that.

11.3Our plugins for Claude Code run on the Claude plan you already have. That plan is not included in the price, and Anthropic’s own terms and usage limits apply to it. Our plugins are not affiliated with or endorsed by Anthropic.

11.4Stripe processes payments for us, under its own terms and privacy policy. Other services we use to run our own services are listed in our privacy notice.

11.5We aren’t responsible for a third party’s service, its availability or what it does with data you send it, except where it acts for us on our instructions.

12. Prices, invoices and paying

12.1The prices for 3Sry are on its pricing page. The prices for an app are on its own site. The price you pay is the one on our invoice or at checkout on the day you buy.

12.2Our prices are set before tax. At checkout, Stripe Tax adds any VAT or sales tax due, worked out from your billing address. If you buy for a business and give its tax number, the reverse charge applies and no tax is added. Stripe sends your receipt and invoice for us. On our invoices, prices are shown before any VAT that applies. Where we must charge VAT, it is added at the rate in force.

12.33Sry is an annual licence. You pay for the year in one of two ways:

  • In full. You pay for the whole year in advance. Paying for the year in full saves at least 15%.
  • In 12 monthly instalments. Each instalment is invoiced in advance.

12.4That covers departments, users and model plans. Once your year starts, the whole year is owed, apart from the 30 days to change your mind (clause 15). If you stop paying instalments, you still owe the rest of the year. You choose how to pay for each year, and a change starts from your next year. You choose your currency when you start. It stays the same until your next year.

12.5Every invoice is in advance, for the instalment or the year ahead. Pay each invoice by its due date, in the currency it is in, without deducting anything except tax the law requires you to deduct. If you think an invoice is wrong, tell us within its payment period and pay the part you don’t dispute. We’ll look into it with you.

12.6Users are charged as the pricing page says. That’s everyone on the system at any time in the month, whether they sign in or not. Your accountant’s or adviser’s seat counts as a user too. Agents aren’t users.

12.7If you add a department or move up a plan during the year, we invoice it for the rest of the year. If you take a department off or move down a plan, the change starts from your next year. Until then you keep it, and it stays in your instalments.

12.8Your licence renews for the next year, paid the same way. We invoice the next year, or its first instalment, in advance. If you don’t want it to renew, your administrator can turn renewal off in 3Sry, on the Security page. The year you’re in is still owed. With renewal off, no new year is invoiced.

12.9If an instalment is missed, clause 6.3 says what happens to your copy of 3Sry, and clause 13 what happens to a model plan. An unpaid invoice for something you added holds back only that thing. Only an unpaid instalment of the licence year stops updates.

12.10Late payment by a business customer. If you are a business customer and you pay late, we may charge interest, compensation and reasonable costs of recovery under the Late Payment of Commercial Debts (Interest) Act 1998, from the due date until you pay.

12.11Paying for a bundle or an app by card, and each app’s own renewal, are covered by clause 14 and each app’s own terms.

13. Model plans and the models service

13.1Model plans with 3Sry. A model plan is always separate from your 3Sry licence. A plan is an annual licence with a monthly allowance. Your allowance resets each month, however you pay. The plans, their prices and how much use each gives are on 3Sry’s pricing page. Token counts are approximate.

13.2The plans run on the cheapest high-quality NVIDIA model that keeps none of your data, on OpenRouter. We only use a model once it has passed our tests.

13.3A bar at the top of your control centre shows how much you’ve used. It turns amber at 80%. At 100%, the model stops until the next month starts. Only you, or someone you allow to spend for the business, can move up a plan.

13.4If an instalment for your plan is missed, its allowance stops until it’s paid, because the plan is a service we run. The free setup model stays. If you move up a plan part way through the year, we invoice the difference for the rest of that year.

13.5Our free setup model. When you start, we give you a model at no cost. It only helps you add your own key or choose a plan. It does nothing else, and it keeps none of your data.

13.6The models service. The models service is our own connection to an AI model, for an app that offers it. You use it instead of a key of your own. Today 3Sry offers it. To use it, your app’s licence must be in good standing.

13.7The service only runs a task on a model that has passed our evaluation for that task. If no model has passed, it refuses the task and sends nothing.

13.8The service stops if a payment fails, until it is paid. It also stops if a payment is refunded in full, or if you dispute a payment with your bank. It comes back if the refund does not go through, or the dispute is decided in your favour.

13.9What the service does with your prompts is set out in our privacy notice. In short, your prompts pass through our service on their way to the model provider. Our service keeps no prompt and no reply, and it never logs them.

14. Bundles

14.1A bundle is one payment. It gives you a licence in each app it covers, and each licence comes with a year of updates. Each licence is on that app’s own terms. We send you one email with each app’s download link.

14.2After the year, you can choose to renew. A renewal is one payment too. It never renews automatically.

14.3At checkout you agree to these terms and ask for your download straight away.

14.4Clause 15 says how you can change your mind about a bundle, and what happens if you dispute the payment.

15. Changing your mind

15.1This clause applies to a 3Sry licence year, a model plan with it, and a bundle. Each app’s own terms say how its refunds work.

15.2Changed your mind? You can cancel within 30 days of a licence year starting and get back everything you paid for that year, whether you paid in full or monthly. Your licence then ends, and you owe nothing more. After 30 days, your one-year contract commitment becomes final and irrevocable. If you’re buying as a consumer, your 14-day right to cancel is part of this.

15.3You can get a full refund of a licence year within 30 days of its start. This is the same whether you paid for the year in full or in monthly instalments. We refund to your payment method. If you paid by bank transfer, we refund by bank transfer. Your licence ends when we refund it, and any instalments still to come are cancelled. After 30 days, your one-year contract commitment becomes final and irrevocable, instalments included.

15.4To cancel 3Sry within the 30 days, write to [email protected] with your invoice.

15.5Within the 30 days, you can ask for a refund from the dashboard of any app in the bundle, or by email to [email protected] with your invoice or receipt. A bundle is refunded whole. You can’t refund one product from it. When the refund is made, every licence the bundle gave you stops.

15.6If you dispute the payment with your bank instead (a chargeback), the licences end. They come back if the dispute is decided in your favour.

15.7If you are a consumer, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you a right to cancel within 14 days. Our 30 days include those 14 days. We don’t ask you to give up that right when you download or start using what you bought. For the models service, your 14-day right to cancel applies as the law gives it.

15.8Clause 15.2 doesn’t stop you ending a contract because we have broken it (clause 24.2), or using any other right the law gives you.

16. Bespoke integration and advisory work

16.1We can help you and your team land this right, connect to your systems and get your agents up and running for your flows. Get in touch.

16.2Bespoke integration is a separate service, for when you need it. For example, an integration with a system 3Sry has no connector for, or set-up work done for you. We quote each piece of work, and we agree it with you in writing before work starts. It is invoiced on its own, once, and never charged automatically.

16.3Our advisory work, such as a diagnostic, a fractional officer or a full programme, is agreed in an engagement letter. The engagement letter sets out the scope, the fees and how we work together. These terms apply to it only where the engagement letter doesn’t say otherwise.

16.4Where we work with one of our execution partners, the contract says whether we contract with you ourselves and carry the delivery risk, or sit alongside the partner in a three-way agreement.

16.5We carry out bespoke and advisory work with reasonable care and skill. You agree to give us, in good time, the information, access and decisions we reasonably need. If you don’t, we aren’t responsible for the delay or its effects.

17. Intellectual property and feedback

17.1We, or the people who license them to us, own all intellectual property rights in our software, our websites, our documentation, and anything we make in providing our services that isn’t your data. These terms don’t transfer any of those rights to you. You get only the licence these terms give you.

17.2As between you and us, you own your data. We claim no rights in it. You give us only the rights we need to provide a service you choose, such as passing your prompts to a model provider when you take a model plan.

17.3Where an engagement letter or a quote for bespoke work says who owns what we make for you, that applies. If it says nothing, what we make for you only, for your business, is yours once you have paid for it. Our software, tools, methods and know-how stay ours, and we give you a licence to use any of them built into what we made for you, for your own business.

17.4If you send us ideas or suggestions about our products (feedback), we may use them freely, without paying you. We won’t name you as their source without your permission. Feedback doesn’t include your data.

17.5The anonymised product signals described in clause 8.5, and the totals we make from them, are ours. They are not your data.

17.6Polyglyph Analytica, 3Sry, POLYGLYPH and the names of our products are ours. You may not use them except to refer to our products accurately.

18. Confidentiality

18.1Each of us will keep the other’s confidential information confidential, and use it only to perform or receive what these terms cover. Confidential information is anything one of us tells the other that is marked as confidential, or that a reasonable person would see as confidential. Enquiries are held in strict confidence.

18.2Either of us may share confidential information with our own staff, advisers, insurers and subcontractors who need it for those purposes and who are bound to keep it confidential. Each of us is responsible for them keeping it so.

18.3This clause doesn’t cover information that is or becomes public through no fault of the one receiving it, that it already had or got lawfully from someone else without a duty of confidence, or that it developed on its own. Either of us may disclose confidential information where the law, a court or a regulator requires it, telling the other first where the law allows.

18.4This clause lasts for as long as the information stays confidential, including after the contract ends.

19. Data protection

19.1Each of us will comply with the UK GDPR and the Data Protection Act 2018, and any other data protection law that applies to it.

19.2We are the controller of the personal data our privacy notice and 3Sry’s privacy page describe. That includes what you give us when you enquire and buy, the names and email addresses of your 3Sry administrators that the licence check sends, and what you send us from Help. Those pages say what we collect, why, who we share it with and how long we keep it.

19.3You are the controller of the personal data in your 3Sry and in what our apps work on, on your own systems. That includes the personal data of your staff, your customers, your suppliers and anyone who applies for a job with you. We don’t receive it, host it or see it. You are responsible for having a lawful basis for it, telling the people it is about, answering their requests, and keeping it secure.

19.4Some services we run carry your data while it passes through: the models service, the relay (clause 8.4), and our mail service when 3Sry sends its emails through us. To the extent that any of that is personal data you control, we process it as your processor, and:

  • we process it only to provide that service, which you instruct us to do by choosing it, or as the law requires;
  • we keep none of it beyond what our privacy notices say, such as counts for limits and billing;
  • everyone who handles it for us is bound to keep it confidential;
  • we protect it with appropriate technical and organisational measures;
  • you authorise the subprocessors named in our privacy notices, and we will tell you before we add or replace one, so you can object;
  • where it is transferred outside the UK, we use the safeguards our privacy notice describes;
  • we help you, as far as we reasonably can, to answer requests from the people it is about, and to meet your duties on security, breaches and impact assessments;
  • we tell you without undue delay if we become aware of a personal data breach affecting it; and
  • we give you the information you reasonably need to show that this clause is met.

19.5If we both sign a data processing agreement, it takes the place of clause 19.4.

19.6The product signals in clause 8.5 are anonymised counts. They are not personal data.

20. Security

20.1We take appropriate technical and organisational measures to protect the services we run: our websites, our licence server, our relay, our store and our models service. Our privacy notice says how we protect personal data.

20.23Sry protects your record and your sign-ins in the ways its FAQ and trust pages describe, and they also say where its limits are. For example, its file check is a static check for active content. It knows no virus signatures, so it does not catch everything a virus scanner would.

20.3No system is completely secure. The security of your own computers, servers, networks, keys and storage is your responsibility (clause 8.2). Tell us straight away at [email protected] if you find a security problem in our software or our services.

21. What we promise, and what we don’t

21.1We promise that we have the right to give you the licences in these terms, and that we provide our services with reasonable care and skill.

21.2If you are a consumer, the law says that digital content and services we supply must be as described, of satisfactory quality and fit for purpose, and that services must be provided with reasonable care and skill. If they aren’t, you may be entitled to a repair, a replacement, a price reduction or a refund. Nothing in these terms affects those rights. Citizens Advice can tell you more about them.

21.3If you are a business customer, our software is provided as it is. We don’t promise that it will meet your particular needs, run without interruption or errors, find every error or discrepancy in your records, or that anything an agent prepares is right for your circumstances. Apart from what clause 21.1 says, every term that the law would otherwise imply, about quality, fitness for purpose or anything else, is excluded as far as the law allows.

21.4Whoever you are, what an agent prepares is for a person to check (clause 9). We don’t promise any result from using our software, such as a saving, a tax position or a regulatory outcome.

21.5We describe our products as they are on the day we write about them. 3Sry is being built, and its FAQ says which parts work today. Some parts are waiting for their modules.

22. Our liability to you

22.1What we never limit. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms the law implies about our right to supply what we supply, or for anything else the law doesn’t allow us to limit or exclude. For a consumer, that includes your rights under the Consumer Rights Act 2015.

22.2If you are a consumer. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or of our failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious it would happen, or if we both knew it might happen when the contract was made. We are not responsible for loss or damage that isn’t foreseeable.

22.3If you are a consumer, we supply our software for your own private use. If you use it for a business, we have no liability to you for loss of profit, loss of business, business interruption or loss of business opportunity.

22.4If you are a consumer and digital content we supplied damages a device or digital content of yours because we didn’t use reasonable care and skill, we will either repair the damage or pay you fair compensation.

22.5If you are a business customer, and subject to clause 22.1, we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

  • loss of profits, revenue, business, contracts, goodwill or anticipated savings;
  • loss or corruption of data, or the cost of restoring it, as your data is held on your own systems;
  • any payment you make, return you file, document you send or other decision you take, including one an agent prepared and a person in your business approved, or one an agent made under Run autonomously;
  • loss caused by a third party’s service, or by your use of your own keys with it; or
  • any indirect or consequential loss.

22.6Our total liability to a business customer, subject to clause 22.1, for everything arising from or in connection with a contract under these terms, in total, is limited to the fees you paid and must pay us under that contract in the 12 months before the event that gave rise to the first claim. This limit doesn’t apply to fees you owe us.

22.7For anything we provide free, such as a trial, the free setup model or a free app, and subject to clause 22.1, we have no liability to a business customer, and our liability to a consumer is under clause 22.2.

22.8Each of us must take reasonable steps to limit any loss it suffers because of the other.

22.9A business customer must bring any claim against us within two years of becoming aware, or when it ought reasonably to have become aware, of the facts giving rise to it.

22.10We have set these limits because you hold and control your data, a person in your business approves what an agent prepares, and our prices reflect them. A business customer agrees that they are reasonable.

23. Indemnities

23.1Our indemnity. If a third party claims that a business customer’s use of our software, as we supplied it and as these terms allow, infringes its intellectual property rights in the UK, we will defend the claim and pay the damages and costs a court finally awards against you, or a settlement we agree. You must tell us promptly in writing, let us control the defence and any settlement, help us as we reasonably ask at our cost, and make no admission without our agreement.

23.2If such a claim is made, or we think it likely, we may get you the right to keep using the software, change it so that it doesn’t infringe without losing material function, or end the licence and refund what you paid for the rest of the licence year you can’t use.

23.3Clause 23.1 doesn’t apply to a claim arising from your data, from a change not made by us, from combining our software with something we didn’t supply, from use outside these terms, or from a version we had offered to replace with one that didn’t infringe. Clauses 23.1 and 23.2 are our only liability, and your only remedy, for such a claim, and clause 22 applies to them.

23.4Your indemnity. A business customer will indemnify us against any claim by a third party, and the losses, damages and reasonable costs that follow from it, arising from your data, from your breach of clause 6.7 or clause 10, or from your use of a third party’s service through our software on your own keys.

23.5Consumers don’t give an indemnity.

24. Suspension and ending the contract

24.1Suspension. We may suspend a service we run for you, such as the models service, the relay, notification emails or our mail service, if we reasonably need to: to stop a breach of clause 10, to protect the security of our systems or other customers, or because the law requires it. We will suspend only as much and for as long as we need to, and tell you why, before we do where we can. A missed payment is dealt with by clauses 6.3, 12.9 and 13, not by this clause.

24.2Ending for a breach. Either of us may end a contract under these terms by writing to the other if the other:

  • materially breaks these terms and, if the breach can be put right, doesn’t put it right within 30 days of being asked in writing to do so; or
  • is a business that becomes insolvent, enters administration, liquidation or a similar process, makes an arrangement with its creditors, or stops trading.

24.3We may also end a licence straight away, by writing to you, if you break clause 6.7. Not paying is not a reason we end a 3Sry licence. An unpaid licence lapses, as clause 6.3 says.

24.4You can stop a 3Sry licence renewing at any time before the next year, as clause 12.8 says. You can end your trial at any time.

24.5What happens when a contract ends.

  • Your data stays on your own systems. You keep it, and you can go on reading it. We don’t hold it, so there is nothing for us to return or delete.
  • If the licence ends under clause 15, 23.2, 24.2 or 24.3, you must stop using the software it covered, and the software may stop working. The licence file stops being renewed.
  • If the licence lapses because a bill wasn’t paid, clause 6.4 applies instead.
  • Services we run for you under that contract stop.
  • We keep what our privacy notices say we keep, for as long as they say, and then delete it.
  • What you owe us up to the end stays owed, including the rest of a licence year begun, except where you end the contract because we broke it, or where clause 15 or 23.2 gives you a refund. If you end it because we broke it, we refund what you paid for the part of the year you can’t use.
  • Clauses that by their nature should last after the end do so. These include clauses 6.7, 8.2, 9.5, 17, 18, 19, 22, 23, 24.5 and 28 to 33.

25. Events outside our control

25.1Neither of us is responsible for a delay or failure in doing what these terms require that is caused by an event outside its reasonable control. That includes failures of the internet, power or a third party’s service, fire, flood, war, terrorism, civil unrest, epidemic, strikes and acts of government. This clause doesn’t excuse a failure to pay.

25.2The one affected must tell the other promptly and take reasonable steps to limit the effect. If the event stops a business customer or us from doing something material for more than 60 days, either of us may end the affected contract by writing to the other, and we refund what you paid for the part you can’t use.

26. Changes to these terms

26.1The terms on this page on the day you buy are the ones that apply to your purchase. If they change, the date at the top changes with them.

26.2Each licence year is a new annual licence, so a renewal is on the terms on this page when the new year starts. We will email the address on your licence about any change that affects you at least 30 days before the renewal it applies to. If you don’t agree to it, you can turn renewal off.

26.3During a licence year, we may change these terms only where the law, a regulator or a security need requires it, or where the change doesn’t make your position worse. We will tell you first. A change never takes away a licence already bought.

26.4We may change our software in an update, for example to improve it, to keep it secure or to follow the law.

27. Transferring the contract

27.1We may transfer our rights and duties under these terms to another organisation, such as one that buys our business. We will tell you in writing, and the transfer won’t reduce your rights. If you are a consumer and you’re unhappy with the transfer, you may end the contract within 14 days of our telling you, and we will refund what you paid for anything you haven’t had.

27.2You may transfer your rights or duties under these terms only if we agree in writing.

27.3We may use subcontractors. We stay responsible for what they do for us.

28. Notices

28.1Write to us at [email protected]. For something about personal data, write to [email protected]. Notice of a legal claim must also be sent by post to our registered office: Polyglyph Analytica Ltd, Montclare, Orpington Bypass, Badgers Mount, Kent TN14 7AG, U.K.

28.2We will write to you at the email address on your licence or account, or the one you gave when you bought, or by post to the address on your invoice.

28.3An email is treated as received when it is sent, unless the sender gets a message that it wasn’t delivered. If it is sent outside 9am to 5pm on a working day in England, it is treated as received at 9am on the next working day. A letter is treated as received two working days after posting.

29. Other people’s rights

29.1Only you and we have rights under these terms. Nobody else may enforce any of them under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

30. The whole agreement

30.1For a business customer, these terms and the documents in clause 3.5 are the whole agreement between us about what they cover. They replace anything we said or agreed before. You agree that you haven’t relied on any statement or promise that isn’t in them, and you have no remedy for one, except for fraud or fraudulent misrepresentation.

30.2For a consumer, what we told you about a product before you bought it can form part of the contract, as the law says.

31. If part of these terms is invalid

31.1If a court or other authority decides that part of these terms is invalid, unlawful or can’t be enforced, that part is changed as little as needed to make it valid, or, if it can’t be, removed. The rest of these terms stays in force.

32. Not enforcing a term straight away

32.1If either of us doesn’t insist straight away that the other does something these terms require, or delays in using a right, that doesn’t stop it insisting or using the right later. A waiver counts only if it is in writing.

33. Which law applies, and which courts

33.1These terms, and any dispute or claim arising from or in connection with them or their subject matter, including non-contractual ones, are governed by the law of England and Wales.

33.2If you are a business customer, the courts of England and Wales have exclusive jurisdiction.

33.3If you are a consumer, you may bring proceedings in the courts of England and Wales. If you live in Scotland, you may also bring them in Scotland. If you live in Northern Ireland, you may also bring them in Northern Ireland. If you live elsewhere, the law and the courts where you live may also give you rights, and clause 4.4 keeps them.

34. Complaints and contact

34.1If something has gone wrong, we would like to hear from you first, so we can put it right. Write to [email protected], saying what happened and what you would like us to do, with your invoice or receipt if you have one.

34.2For help with 3Sry, Polyaly in 3Sry is the first place to ask. You can also write to us from Help in 3Sry, or email [email protected].

34.3For a complaint about personal data, write to [email protected]. You can also complain to the Information Commissioner’s Office, as our privacy notice says.
